Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legal agreement between you (either an individual or legal entity, "Customer," "you," or "your") and ReadyDedis, LLC ("ReadyDedis," "we," "us," or "our") regarding your use of Hypervisor.io software and services ("Software" or "Service").

By accessing, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. License Grant

Subject to your compliance with these Terms and payment of applicable fees, ReadyDedis grants you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use the Software on the number of hypervisors covered by your purchased license tier
• Deploy virtual machines according to the limits specified in your license tier (Solo, Small, Medium, or Unlimited)
• Access and use the administrative interface and API as documented
• Receive software updates and patches during your active subscription period

2.1 License Tiers

Hypervisor.io offers the following license tiers:

• Solo License: Permits deployment of 1 virtual machine per licensed hypervisor
• Small License: Permits deployment of up to 5 virtual machines per licensed hypervisor
• Medium License: Permits deployment of up to 10 virtual machines per licensed hypervisor
• Unlimited License: Permits unlimited virtual machine deployments per licensed hypervisor

All licenses are priced and sold per hypervisor. Each physical or virtual hypervisor server requires its own separate license.

3. License Restrictions

You agree NOT to:

• Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software
• Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices on the Software
• Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Software to any third party
• Use the Software to develop a competing product or service
• Circumvent or bypass any license validation, verification, or enforcement mechanisms
• Exceed the virtual machine deployment limits of your purchased license tier
• Use a single license on multiple hypervisors simultaneously
• Share license keys or authentication credentials with unauthorized parties
• Use the Software for any illegal purpose or in violation of any applicable laws or regulations

4. Pricing and Payment

4.1 License Fees

License fees are charged monthly per hypervisor according to the selected tier. Current pricing is available at hypervisor.io/pricing. All prices are in United States Dollars (USD) unless otherwise specified.

4.2 Billing Cycle

Licenses are billed on a monthly recurring basis. Payment is due at the beginning of each billing cycle. Failure to pay may result in license suspension or termination.

4.3 Taxes

All fees are exclusive of applicable federal, state, local, or foreign taxes, levies, or duties. You are responsible for all applicable taxes associated with your purchase.

4.4 Price Changes

ReadyDedis reserves the right to modify pricing with 30 days advance notice. Price changes will apply to subsequent billing cycles but will not affect the current billing period.

4.5 Refund Policy

License fees are non-refundable except as required by applicable law or as expressly stated in these Terms. You may cancel your subscription at any time, but no refunds will be issued for partial months of service.

5. Evaluation License

5.1 Free Trial Period

Hypervisor.io offers a 30-day free evaluation license that is automatically activated upon software installation. The evaluation license provides:

• Full access to all software features
• Unlimited virtual machine deployments on 1 hypervisor
• Email support during the evaluation period
• No credit card required for activation

5.2 Trial Conversion

At the end of the 30-day evaluation period, you must purchase a paid license to continue using the Software. Failure to purchase a license will result in the Software ceasing to function for new deployments.

5.3 Trial Limitations

Evaluation licenses are limited to one per customer/organization. ReadyDedis reserves the right to deny evaluation license requests at its sole discretion.

6. Support and Updates

6.1 Technical Support

All active license holders receive email support during the subscription period. Support includes:

• Installation assistance
• Configuration guidance
• Bug reports and troubleshooting
• General usage questions

Support response times are based on best-effort and are not guaranteed. Critical issues will be prioritized.

6.2 Software Updates

Active license holders are entitled to receive software updates, bug fixes, and security patches at no additional charge. Updates may include new features, improvements, and compatibility enhancements.

6.3 End of Life

ReadyDedis reserves the right to discontinue support for older software versions with reasonable notice. Customers are encouraged to keep their installations updated to the latest version.

7. Data and Privacy

7.1 License Verification

The Software periodically contacts ReadyDedis servers to verify license validity, check for updates, and transmit anonymous usage statistics. This connection is required for the Software to function.

7.2 Data Collection

We collect limited technical data including:

• License key and activation status
• Software version and installation date
• Number of hypervisors and virtual machines
• Server hardware specifications (anonymized)
• Error logs and crash reports (if enabled)

We do NOT collect, access, or store your customer data, virtual machine contents, passwords, or confidential business information.

7.3 Privacy

Your use of the Software is also governed by our Privacy Policy. Please review the Privacy Policy to understand our data practices.

8. Warranties and Disclaimers

8.1 Limited Warranty

ReadyDedis warrants that the Software will substantially conform to its documentation under normal use for a period of 30 days from the date of purchase. If the Software fails to conform to this warranty, your sole remedy is to receive a refund of the license fee paid.

8.2 Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, READYDEDIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ReadyDedis does not warrant that:

• The Software will meet your specific requirements or expectations
• The operation of the Software will be uninterrupted or error-free
• All defects or errors will be corrected
• The Software is compatible with all hardware and operating systems

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL READYDEDIS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF READYDEDIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ReadyDedis' total liability to you for any damages arising out of or related to these Terms or the Software, whether in contract, tort, or otherwise, shall not exceed the amount paid by you to ReadyDedis in the 12 months preceding the event giving rise to liability.

9.1 Critical Systems

The Software is not designed, manufactured, or intended for use in hazardous environments requiring fail-safe performance, including but not limited to:

• Nuclear facilities
• Aircraft navigation or communication systems
• Air traffic control systems
• Life support machines
• Weapons systems

ReadyDedis expressly disclaims any liability for use in such environments.

10. Termination

10.1 Termination by Customer

You may terminate your license at any time by:

• Canceling your subscription through the client portal
• Ceasing use of the Software
• Uninstalling the Software from all hypervisors

Termination does not entitle you to a refund of fees already paid.

10.2 Termination by ReadyDedis

ReadyDedis may suspend or terminate your license immediately if you:

• Violate any provision of these Terms
• Fail to pay license fees when due
• Engage in fraudulent activity or misuse of the Software
• Use the Software in a manner that harms ReadyDedis or other customers

10.3 Effect of Termination

Upon termination:

• Your right to use the Software ceases immediately
• You must uninstall the Software and destroy all copies
• ReadyDedis may disable your license keys
• You remain liable for all fees accrued before termination
• Sections of these Terms that by their nature should survive termination will continue to apply

11. Changes to Terms

ReadyDedis reserves the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date at the top of this document
• Sending email notification to active license holders (for significant changes)

Your continued use of the Software after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Software and cancel your license.

12. General Provisions

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state where ReadyDedis, LLC is incorporated, without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Software shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12.3 Entire Agreement

These Terms, together with our Privacy Policy and any purchase order or invoice, constitute the entire agreement between you and ReadyDedis regarding the Software and supersede all prior or contemporaneous communications and proposals.

12.4 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

12.5 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. ReadyDedis' failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.

12.6 Assignment

You may not assign or transfer these Terms or your license without ReadyDedis' prior written consent. ReadyDedis may assign these Terms without restriction. Any attempted transfer in violation of this section is void.

12.7 Force Majeure

ReadyDedis shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

12.8 Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of the Software. You represent that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods.
