These Terms of Service ("Terms") constitute a legal agreement between you (either an individual or legal entity, "Customer," "you," or "your") and ReadyDedis, LLC ("ReadyDedis," "we," "us," or "our") regarding your use of Hypervisor.io software and services ("Software" or "Service").
By accessing, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
Subject to your compliance with these Terms and payment of applicable fees, ReadyDedis grants you a limited, non-exclusive, non-transferable, revocable license to:

All licenses are priced and sold per hypervisor. Each physical or virtual hypervisor server requires its own separate license.

License fees are charged monthly per hypervisor according to the selected tier. Current pricing is available at https://hypervisor.io/#pricing. All prices are in United States Dollars (USD) unless otherwise specified.
Licenses are billed on a monthly recurring basis. Payment is due at the beginning of each billing cycle. Failure to pay may result in license suspension or termination.
All fees are exclusive of applicable federal, state, local, or foreign taxes, levies, or duties. You are responsible for all applicable taxes associated with your purchase.
ReadyDedis reserves the right to modify pricing with 30 days advance notice. Price changes will apply to subsequent billing cycles but will not affect the current billing period.
License fees are non-refundable except as required by applicable law or as expressly stated in these Terms. You may cancel your subscription at any time, but no refunds will be issued for partial months of service.
Hypervisor.io offers a 30-day free evaluation license that is automatically activated upon software installation. The evaluation license provides:
At the end of the 30-day evaluation period, you must purchase a paid license to continue using the Software. Failure to purchase a license will result in the Software ceasing to function for new deployments.
Evaluation licenses are limited to one per customer/organization. ReadyDedis reserves the right to deny evaluation license requests at its sole discretion.
All active license holders receive email support during the subscription period. Support includes:
Support response times are based on best-effort and are not guaranteed. Critical issues will be prioritized.
Active license holders are entitled to receive software updates, bug fixes, and security patches at no additional charge. Updates may include new features, improvements, and compatibility enhancements.
ReadyDedis reserves the right to discontinue support for older software versions with reasonable notice. Customers are encouraged to keep their installations updated to the latest version.
The Software periodically contacts ReadyDedis servers to verify license validity, check for updates, and transmit anonymous usage statistics. This connection is required for the Software to function.
We collect limited technical data including:
We do NOT collect, access, or store your customer data, virtual machine contents, passwords, or confidential business information.
Your use of the Software is also governed by our Privacy Policy, available at https://hypervisor.io/privacy-policy.html. Please review the Privacy Policy to understand our data practices.
ReadyDedis warrants that the Software will substantially conform to its documentation under normal use for a period of 30 days from the date of purchase. If the Software fails to conform to this warranty, your sole remedy is to receive a refund of the license fee paid.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, READYDEDIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
ReadyDedis does not warrant that:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL READYDEDIS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF READYDEDIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ReadyDedis' total liability to you for any damages arising out of or related to these Terms or the Software, whether in contract, tort, or otherwise, shall not exceed the amount paid by you to ReadyDedis in the 12 months preceding the event giving rise to liability.
The Software is not designed, manufactured, or intended for use in hazardous environments requiring fail-safe performance, including but not limited to:
ReadyDedis expressly disclaims any liability for use in such environments.
You may terminate your license at any time by:

Your continued use of the Software after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Software and cancel your license.
These Terms shall be governed by and construed in accordance with the laws of the United States and the state where ReadyDedis, LLC is incorporated, without regard to conflict of law principles.
Any disputes arising out of or relating to these Terms or the Software shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
These Terms, together with our Privacy Policy and any purchase order or invoice, constitute the entire agreement between you and ReadyDedis regarding the Software and supersede all prior or contemporaneous communications and proposals.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. ReadyDedis' failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your license without ReadyDedis' prior written consent. ReadyDedis may assign these Terms without restriction. Any attempted transfer in violation of this section is void.
ReadyDedis shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
You agree to comply with all applicable export and import control laws and regulations in your use of the Software. You represent that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods.
